Every business is as unique as its owner(s). That's why our One-on-One Consultation is crucial for us to be "detail specific" in helping you to create a sound Business Framework and Structure for your NEW Business, or to help you "Restructure" your Existing Business (or multiple businesses). All consultation fees are nonrefundable, but can be applied to any Business Formation or Business Service you need (other than Business or Individual Tax Preparation).
Forming your own LLC, PLLC, or Corporation online "BY YOURSELF"...is NOT advisable. It is crucial to speak to a professional who understands how your industry works, and your State or Local Requirements. Many people are often sucked into "creating an LLC or Corporation business online" only to find out the following:
🔶What seems to be "free" REALLY IS NOT (...nothing in this world is for "FREE" except the AIR we breathe👀). You get sucked into the minimum filing requirement...only to be scammed in crazy pop-up fees that all of a sudden become "optional" (when really some of those tasks are requirements)...so you ignore it. BIG oops on your part! #problems
🔶Those fees may only encompass a SMALL portion of the other tasks that are REQUIRED for you to ensure that your LLC or Corporation is filed properly, and accurately. The online company may not even be willing to perform all of the necessary steps (just the basic ones to garner a few bucks from you...).
🔶You end up NOT filing and/or meeting all of your State's Requirements and end up penalized or fined for it (EVERY STATE HAS DIFFERENT RULES!).
🔶You don't realize that you have signed up for specific withholding taxes, sales tax, use tax, or workman's compensation and disability insurances. #fines
🔶OR...you "Accidently" sign your business up for the WRONG taxes 👆, such as payroll (when you don't yet need to) or elect S-Corporation status too early when it's not necessary (and not realizing that there are rules you have to follow). Most of these other taxes have quarterly tax reporting requirements, and if you don't file? You guessed right... more problems and not such nice letters showing up in your mailbox from various Tax Authorities, or State Agencies.
🔶If there is more that one partner or shareholder in the business, you don't understand the additional rules or requirements, particularly pertaining to agreements, wages, retirement benefits, fringe benefits (and MORE), and may end up in a BIG MESS.
🔶The WORST part...you find out that your "licensed industry" requires that you NOT file an LLC rather a PLLC. Bottom line...you formed the WRONG type of COMPANY!🤦♂️
🔶Once you file, you can't go back. There are no "redo's" or "take backs" with this. You just LOST all of your money, and now you have to pay to either "dissolve it" and pay again to "amend things" or "start-over". In short...you'll have to pay someone else (like US) to FIX IT!

Effective 01/1/2024 The Federal "Corporate Transparency Act" is in FULL FORCE. The Federal Government claims that the attempt of the new Act is to create "Corporate Transparency" to help combat financial crimes and other relatable crimes. This Act affects potentially 26 Million American Small Businesses throughout the country. The are 23 types of exemptions, but MOST small businesses are required to register.
Failure to comply with Registration, and Updating BOI Amendments can result in:
Entities Created Prior to 01/01/2024, have until 01/01/2025 to Register the Beneficial Ownership Information (a.k.a. BOI Form) for each individual.
**Please Note: If you are a preexisting LLC or Corporate Entity created PRIOR to 01/01/2024, we will be able to assist you in May when Tax Season is over (REMEMBER: You have until the end of the year 12/31/2024 to Register).
**NOTE: On 12/22/2023 Governor Hochul signed into existence "The LLC Transparency Bill". The purpose of this law is to create corporate transparency similar to the Federal "Corporate Transparency Act". Penalties and fines will also be imposed on those who fail to disclose BOI information.
**If you are a corporate entity in another state, it is highly advisable that you inquire with your State Division of Corporations or State Taxing Authority if similar BOI Registrations are currently required.
